Nuveen Core Plus Impact Fund (NPCT): A new closed-end fund offering
The Fund is a newly organized, diversified, closed-end management investment company designed primarily as a long-term investment and not as a trading vehicle. The Fund is not intended to be a complete investment program and due to the uncertainty inherent in all investments, there can be no assurance that the Fund will achieve its investment objective of seeking total return through high current income and capital appreciation, while giving special consideration to certain impact and environmental, social and governance (“ESG”) criteria.
The Fund's performance and the value of its investments will vary in response to changes in interest rates, the financial condition and creditworthiness of a security's issuer, ratings on a security, perception of the issuer and other market factors.
Investing in the Fund involves special risk considerations including but not limited to: Impact Criteria and ESG Criteria Investing Risk, Active Management Risk, Debt Securities Risk, Below Investment Grade Risk, Unrated Investments Risk, Restricted and Illiquid Investments Risk, CMBS and MBS Risk, ABS Risk, Municipal Securities Market Risk, Foreign/Emerging Markets Issuer Risk, Sovereign Government and Supranational Debt Risk, Foreign Currency Risk, U.S. Government Securities Risk, Loan Risk, Senior Loan Risk, Issuer Credit Risk, Credit Spread Risk, Interest Rate Risk, Call Risk, Reinvestment Risk, Inverse Floating Rate Securities Risk, Regulation S Securities Risk, Bond Market Liquidity Risk, Municipal Securities Market Liquidity Risk, Defaulted and Distressed Investments Risk, Derivatives Risk, Hedging Risk, Risk of Swaps and Swap Options, Financial Futures and Options Transactions Risk, Tax Risk, Inflation Risk, Other Investment Companies Risk, Valuation Risk, Market Discount from Net Asset Value, Investment and Market Risk, Leverage Risk, Reverse Repurchase Agreement Risk, Limited Term and Tender Offer Risks, Distribution Risk, Subsidiary Risk, Frequent Trading Risk, No Operating History, Global Economic Risk, Recent Market Conditions, Legislation and Regulatory Risk, LIBOR Replacement Risk, Anti-Takeover Provisions and Potential Conflicts of Interest Risk. For a complete listing of all of the Fund's risks with their full descriptions, please see the Fund's preliminary prospectus.
Because the Fund is newly organized and has not commenced business, its shares have no history of public trading and the Fund does not have any performance history. Shares of the Fund may trade at a discount from their net asset value, which could be significant. The risk of loss due to this discount may be greater for investors who expect to sell their common shares in a relatively short period after completion of the public offering. An investment in the Fund's common shares is subject to investment risk, including the possible loss of the entire amount of an investor's investment. The Fund's common share price will fluctuate and, at the same time, may be above or below net asset value and may be worth more or less than the original investment.
The Fund is offering the common shares through a group of underwriters led by UBS Securities LLC, BofA Securities, Inc. and Wells Fargo Securities, LLC, none of whom is affiliated with Nuveen Fund Advisors or Nuveen Asset Management. A registration statement relating to these securities has been filed with the Securities and Exchange Commission (SEC) but has not yet become effective. These securities may not be sold nor may offers to buy be accepted until the registration statement filed with the SEC is effective.
This website is not an offer to sell these securities and is not soliciting an offer to buy these securities in any jurisdiction where the offer or sale is not permitted. Before an investor invests, he or she should read the preliminary prospectus and consider the Fund’s investment objective and policies, risk considerations, charges and expenses carefully. Once the Fund’s registration statement is effective, an investor should read the Fund’s final prospectus, which contains the information described above and other information, carefully. An investor may obtain these documents by visiting EDGAR on the SEC’s website at www.sec.gov. Alternatively, the Fund, any underwriter or any dealer participating in the offering will arrange to send the preliminary prospectus if requested by calling 800-257-8787. The information contained on this website, in the investor brochure and in the preliminary prospectus is not complete and may be changed.
